1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zero Praise ABN 68 283 839 240 ("Zero Praise," "we," "us," or "our") concerning your access to and use of the www.zeropraise.com website and any related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

2. ELIGIBILITY

You must be at least 18 years of age to use our Services. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.

3. AUSTRALIAN CONSUMER LAW

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (ACL) contained in the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

Under the ACL, you have guaranteed rights in relation to goods and services purchased from us, including:

  • Goods are of acceptable quality
  • Goods are fit for any disclosed purpose
  • Goods match their description
  • Services are provided with due care and skill
  • Services are fit for the specified purpose

If there is an inconsistency between these Terms and the ACL or any other applicable law, the ACL or other applicable law will prevail to the extent of the inconsistency.

4. PRODUCTS AND SERVICES

4.1 Product Descriptions: We make every effort to display our products as accurately as possible. However, we do not warrant that product descriptions, colours, images, or other content available through our Services are accurate, complete, reliable, current, or error-free. Product colours may vary depending on your display settings.

4.2 Pricing: All prices are displayed in Australian Dollars (AUD) unless otherwise stated. We reserve the right to change prices at any time without notice. Prices include GST where applicable.

4.3 Availability: All products are subject to availability. We reserve the right to limit quantities, discontinue products, or refuse orders at our discretion.

4.4 Print-on-Demand: Our products are made-to-order using print-on-demand manufacturing. This means your items are created specifically for you after you place your order, which may result in longer processing times than traditional retail.

5. ORDERS AND PAYMENT

5.1 Order Acceptance: Your order constitutes an offer to purchase products from us. We reserve the right to accept or reject your order for any reason, including product availability, errors in pricing or product information, or suspected fraudulent activity. If we reject your order after payment has been processed, we will refund the full amount.

5.2 Payment: Payment must be made at the time of order. We accept payment methods as displayed at checkout. By providing payment information, you represent and warrant that you are authorized to use the payment method.

5.3 Payment Processing: Payments are processed securely through Shopify Payments and other third-party payment processors. We do not store your complete payment card details.

5.4 Order Confirmation: You will receive an email confirmation once your order has been placed. This confirmation does not constitute acceptance of your order. Acceptance occurs when we dispatch your order.

5.5 Pricing Errors: If we discover a pricing error after you have placed an order, we will contact you to inform you of the error. You may choose to proceed at the correct price or cancel your order for a full refund.

6. SHIPPING AND DELIVERY

6.1 Processing Time: Orders are typically processed within 2-7 business days. During peak periods, processing times may be longer.

6.2 Shipping Times: Delivery times vary depending on your location and selected shipping method. Estimated delivery times are provided at checkout and begin after the processing period.

6.3 Shipping Costs: Shipping costs are calculated at checkout based on your location and selected shipping method.

6.4 International Shipping: For international orders, you are responsible for any customs duties, taxes, or fees imposed by your country. We are not responsible for delays caused by customs.

6.5 Risk of Loss: Risk of loss and title for products pass to you upon delivery to the shipping carrier.

6.6 Undeliverable Packages: If a package is returned to us as undeliverable due to an incorrect address provided by you, we will contact you to arrange reshipment at your expense.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Our Content: All content on our Services, including but not limited to text, graphics, logos, images, designs, photographs, and software, is the property of Zero Praise or its licensors and is protected by Australian and international copyright, trademark, and other intellectual property laws.

8.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes, subject to these Terms.

8.3 Restrictions: You may not:

  • Reproduce, distribute, modify, or create derivative works from our content
  • Use our content for commercial purposes without our written permission
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use any automated system to access our Services
  • Attempt to reverse engineer any aspect of our Services

8.4 Trademarks: "Zero Praise" and associated logos are trademarks of Zero Praise. You may not use our trademarks without our prior written consent.

9. USER ACCOUNTS

9.1 Account Creation: You may be required to create an account to access certain features. You must provide accurate, current, and complete information and keep your account information updated.

9.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

  • Any content obtained from our Services
  • Unauthorized access, use, or alteration of your transmissions or content

11.2 Our total liability to you for all claims arising from or related to our Services shall not exceed the amount you paid to us in the 12 months preceding the claim, or AUD $100, whichever is greater.

11.3 Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Zero Praise, its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Any content you submit or transmit through our Services

13. PRIVACY

Your use of our Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

14. THIRD-PARTY LINKS AND SERVICES

Our Services may contain links to third-party websites or services that are not owned or controlled by Zero Praise. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party websites or services.

15. MODIFICATIONS TO SERVICES

We reserve the right to modify, suspend, or discontinue our Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after any changes constitutes your acceptance of the new Terms.

17. GOVERNING LAW AND JURISDICTION

17.1 These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

17.2 Any dispute arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

17.3 Nothing in this clause limits your rights under the Australian Consumer Law.

18. DISPUTE RESOLUTION

18.1 Informal Resolution: If you have a dispute with us, please contact us first at support@zeropraise.com to attempt to resolve the dispute informally.

18.2 Formal Dispute Resolution: If we cannot resolve a dispute informally, either party may initiate formal dispute resolution proceedings. You may also contact your local consumer protection agency or fair trading office for assistance.

19. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.

20. WAIVER

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

21. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Zero Praise regarding our Services and supersede all prior agreements and understandings.

22. ASSIGNMENT

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms at any time without restriction.

23. FORCE MAJEURE

We shall not be liable for any failure or delay in performance of our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

24. SURVIVAL

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law provisions.
